Terms and Conditions
This is an English translation of our Danish terms and conditions at setlive.co/handelsbetingelser. If the two versions differ, the Danish version applies.
1. The parties
These terms apply to all agreements between Setlive, Danish company registration (CVR) no. 44294672, Landsdommervej 33, 4. th., 2400 Copenhagen NV, Denmark, email hej@setlive.co ("we") and the customer ("you").
We sell only to businesses. By placing an order, you confirm that you are acting in the course of your business. The agreement is therefore not covered by consumer protection rules, including the right of withdrawal.
2. How the agreement is formed
- We make a free draft of your website. The draft does not commit you to anything.
- If you want to go ahead, we send you a quote with the price and what is included.
- The agreement is formed when you have accepted the quote and these terms and have paid the first installment.
The draft belongs to us until the agreement has been formed and paid for, and it may not be used or passed on to others.
3. What is included
Unless the quote says otherwise, a standard website includes:
- design and structure of one website with up to 5 pages
- layout for mobile, tablet and desktop
- setup of a contact form or contact details
- text for the agreed pages, which we write based on your answers to our questionnaire and your current site
- placement of the photos and logo you provide
- 2 rounds of revisions before launch. A round of revisions is one combined list of changes from you. Additional rounds are carried out under a separate quote
- connection to your domain or registration of a new one (see section 7)
- hosting and 3 months of maintenance and support from the launch date (see section 8)
Not included unless stated in the quote: text beyond the agreed pages, photography, purchase of images, logo design, translation, online store, booking system, chatbot, AI receptionist, automations, integrations with other systems, and search engine optimization beyond basic setup.
Each page beyond the 5 costs 15% of the price of a standard website. Other changes beyond what has been agreed are carried out under a separate quote.
4. Your responsibilities
You complete our questionnaire and provide photos, logo and any necessary access within 5 business days after the agreement is formed, and you respond to drafts and questions within 5 business days.
We write the text, but you approve it. You are responsible for the information in it being correct, including prices, opening hours, qualifications, certifications and what you promise your own customers.
You warrant that you have the right to use the material you give us and that the content is lawful. You are responsible for making sure your site complies with the rules that apply to your industry, including disclosure requirements, cookie rules and data protection rules.
5. Delivery
We aim to have a standard website ready for launch within 7 days after we have received the first installment and your material. The delivery time is a target, not a guarantee. It is extended by the time we spend waiting for material, answers or approval from you.
Online stores and larger solutions have a delivery time agreed in the quote.
The site goes live only once you have approved it and the second installment has been paid.
If we have not heard from you for 30 days despite a reminder, we may close the project. The first installment is not refunded.
6. Price and payment
All prices are exclusive of VAT unless otherwise stated.
Payment is made in two installments:
- 50% when you accept the quote. Work on the final site begins once the amount has been received.
- 50% when you have approved the site and before it goes live.
Payment is made via Stripe by card or the other payment methods shown at checkout. If payment is late, interest is charged under the Danish Interest Act (renteloven), and we may charge reminder fees at the statutory rates.
Support plans are paid in advance monthly or yearly and renew automatically until canceled (see section 8).
7. Domain and hosting
Your domain is registered in your name, or you keep the domain you already own. We help with the registration and manage it technically for you. You pay the annual domain fee yourself, directly to the domain provider; it is not part of the price.
Hosting is included for the first 3 months after launch. After that, hosting continues as part of a support plan, or the site is handed over to you (see section 9).
We use subcontractors for hosting. We aim for high uptime but do not guarantee uninterrupted operation and are not liable for outages at subcontractors.
8. Maintenance and support
For the first 3 months after launch, the following is included: security updates, bug fixes, small changes to text and images, and support by email. "Small changes" are changes that can be made in under 30 minutes per request. New pages, new design and new functionality are not covered.
We respond within one business day.
After the 3 months, you can continue on a support plan at the price in our price list at the time of ordering. The support plan covers up to 2 small changes a month; additional changes are carried out under a separate quote. A monthly plan can be canceled effective at the end of a paid month. A yearly plan can be canceled effective at the end of the paid year. Prepaid amounts are not refunded.
We may change the price of support plans with 60 days' written notice.
9. Rights and ownership
Once the full price has been paid, you own your website: the design, text and images created for you, and the code written specifically for your site. Until then, the rights remain with us.
We retain the rights to general templates, components, tools and methods that we use across customers. You receive a perpetual right to use them as part of your site.
Third-party elements such as fonts, icons, images and software are subject to their own licenses.
If you want to take over the site, we hand over the site's files and transfer the domain free of charge once all amounts owed have been paid. Setup with another provider is not included.
We may show your site as a reference and mention your business as a customer unless you say no.
10. Errors and defects
We fix errors caused by our work free of charge if you report them within 3 months after launch. You must report the error in writing as soon as you discover it.
This does not apply to errors caused by changes made by you or others, material you have provided, or third-party services.
11. Liability
We are liable under the general rules of Danish law, with the following limitations:
- We are not liable for indirect losses, including business interruption, lost revenue, lost profits and loss of data.
- Our total liability cannot exceed the amount you have paid us in the last 12 months for the service the claim relates to.
- We do not promise a particular ranking in search engines, a particular number of visitors or a particular amount of revenue.
These limitations do not apply in cases of intent or gross negligence.
12. Cancellation and termination
You can cancel until you have approved the site. The first installment is not refunded, as it covers the work already done. The second installment does not have to be paid.
We may terminate the agreement if you do not pay after a demand for payment, or if you use the site for unlawful content. If a support plan is not paid, we may suspend the site after 14 days' written notice.
13. Personal data
We process your contact details as described in our privacy policy at setlive.co/en/privacy.
If, as part of hosting and support, we process personal data on your behalf, such as messages from your contact form, we will enter into a data processing agreement with you.
14. Force majeure
Neither party is liable for delays or defects caused by circumstances beyond its control, including outages at internet, hosting or payment providers, strikes, illness, fire and orders from public authorities.
15. Changes to these terms
For a specific project, the terms you accepted when you placed your order apply. For ongoing support plans, we may change the terms with 30 days' written notice.
16. Governing law and venue
The agreement is governed by Danish law. Disputes that cannot be resolved through negotiation are settled by the City Court of Copenhagen (Københavns Byret) as the court of first instance.
Version 1.0, effective October 15, 2026.
